President Ilham Aliyev has signed a Decree on measures related to the reorganization of the activities of a number of public legal entities created on behalf of the state.
elchi reports that, according to the Decree, the State Reserves Agency of the Republic of Azerbaijan has been established on the basis of the public legal entity “State Reserves Agency of the Republic of Azerbaijan”.
2. The following budget organizations have been established:
2.1. Cinema Agency under the Ministry of Culture of the Republic of Azerbaijan on the basis of the public legal entity “Cinema Agency of the Republic of Azerbaijan” under the Ministry of Culture of the Republic of Azerbaijan;
2.2. Fisheries and Aquaculture Center under the Ministry of Agriculture of the Republic of Azerbaijan on the basis of the public legal entity “Fisheries and Aquaculture Center” under the Ministry of Agriculture of the Republic of Azerbaijan;
2.3. Azerbaijan Science Foundation on the basis of the public legal entity “Azerbaijan Science Foundation”;
2.4. Mine Action Agency of the Republic of Azerbaijan on the basis of the public legal entity “Mine Action Agency of the Republic of Azerbaijan”;
2.5. Azerbaijan State News Agency (AZERTAC) on the basis of the public legal entity “Azerbaijan State News Agency (AZERTAC)”;
2.6. Center for Legal Expertise and Legislative Initiatives on the basis of the public legal entity “Center for Legal Expertise and Legislative Initiatives”;
2.7. Institute of Law and Human Rights under the Center for Legal Expertise and Legislative Initiatives on the basis of the public legal entity “Institute of Law and Human Rights” under the public legal entity “Center for Legal Expertise and Legislative Initiatives”.
3. The Ministry of Economy of the Republic of Azerbaijan shall ensure the reorganization of the following public legal entities into limited liability companies within two months:
3.1. “Restoration, Construction and Management Service in Jabrayil, Gubadli and Zangilan districts” public legal entity;
3.2. “Restoration, Construction and Management Service in Aghdam, Fuzuli and Khojavand districts” public legal entity;
3.3. “Restoration, Construction and Management Service in Lachin district” public legal entity;
3.4. “Restoration, Construction and Management Service in Khankendi city, Aghdara and Khojaly districts” public legal entity;
3.5. “Restoration, Construction and Management Service in Kalbajar district” public legal entity.
4. The exercise of the powers of the general meeting of the limited liability companies (hereinafter – Companies) intended to be established by Part 3 of this Decree shall be entrusted to the following:
4.1. To the President of the Republic of Azerbaijan:
4.1.1. Establishment of the Supervisory Board of the Companies;
4.1.2. Appointment and dismissal of the chairman and other members of the Supervisory Board of the Companies;
4.2. To the Ministry of Economy of the Republic of Azerbaijan:
4.2.1. Reorganization and liquidation of the Companies in coordination with the President of the Republic of Azerbaijan;
4.3. To the Supervisory Board:
4.3.1. Resolution of other issues assigned to the powers of the Supervisory Board by the Civil Code of the Republic of Azerbaijan, other normative legal acts of the Republic of Azerbaijan regulating relations in this field, and the charter of the Companies, taking into account items 4.1 and 4.2 of this Decree.
5. It shall be determined that:
5.1. The Agency is a central executive authority that participates in the development and implementation of state policy in the field of creation and management of state reserves, carries out regulation and control in this field, as well as takes measures to ensure the sustainability of the country’s supply of strategically important goods and to prevent short-term sharp price changes for those goods in the domestic market;
5.2. A Supervisory Board consisting of 5 (five) members, including the chairman, is established to exercise general management and control over the activities of the Companies;
5.3. The authorized capital of the Companies is formed at the expense of the property of the public legal entities provided for in Part 3 of this Decree, according to the relevant field;
5.4. The structure, staff units, and salary systems of the Companies are determined by the Supervisory Board of the Companies, taking into account items 6.3 and 9.2 of this Decree;
5.5. The rights and obligations, as well as the property of the entities provided for in Parts 1–3, as well as sub-item 6.1.2 of this Decree, are transferred to the new entities created on their basis;
5.6. Until the charters (statutes), structure, and remuneration system of the new entities created in accordance with Parts 1 and 2, as well as sub-item 6.1.2 of this Decree are determined, the entities provided for in those parts and sub-item continue their activities;
5.7. Until the day the Companies are registered as legal entities in the manner established by the Law of the Republic of Azerbaijan “On State Registration and State Register of Legal Entities”, the public legal entities provided for in Part 3 of this Decree continue their activities.
6. The Cabinet of Ministers of the Republic of Azerbaijan:
6.1. Within three months:
6.1.1. Prepare and submit to the President of the Republic of Azerbaijan its proposals regarding:
6.1.1.1. Improvement of normative legal acts, taking into account Parts 1–3, as well as sub-item 6.1.2 of this Decree;
6.1.1.2. The draft charter of the Agency, as well as its structure and the limit on the number of employees, taking into account item 9.2 of this Decree;
6.1.2. Ensure the establishment of the Maqsud Ibrahimbayov Creative Center and the Marionette Theater as budget organizations under the Ministry of Culture of the Republic of Azerbaijan on the basis of the Maqsud Ibrahimbayov Creative Center and the Marionette Theater, which are part of the structure of the “Icherisheher” State Historical-Architectural Reserve Administration” public legal entity;
6.1.3. Ensure the taking of measures related to the transfer of property on the balance sheet of the entities provided for in Parts 1 and 2, as well as sub-item 6.1.2 of this Decree, to the balance sheet of the new entities created on their basis and their material and technical support;
6.1.4. Take measures related to the approval of the charters (statutes) of the new entities created in accordance with Part 2 and sub-item 6.1.2 of this Decree, the determination of their structure, the limit on the number of employees, the amounts of salaries (official salaries, supplements to official salaries, bonuses, and other payments), and the remuneration system, taking into account item 9.2 of this Decree;
6.2. Take measures to ensure that the employees of the Agency are staffed at the expense of the employees of the public legal entity provided for in Part 1 of this Decree, in accordance with the Law of the Republic of Azerbaijan “On Civil Service”;
6.3. Approve the exemplary structure and staff units (by staffing based on the number of administrative territorial units served) of enterprises carrying out restoration, construction, and management services in the liberated territories within one month;
6.4. Resolve other issues arising from this Decree.
7. The Ministry of Economy of the Republic of Azerbaijan:
7.1. Take measures in accordance with the Law of the Republic of Azerbaijan “On State Registration and State Register of Legal Entities” within three days after the approval of their charter for the state registration of the Companies;
7.2. Take appropriate measures for the transfer of the property of the public legal entities provided for in Part 3 of this Decree to the balance sheet of the Companies according to the relevant field within one month from the date of state registration of the Companies;
7.3. Take necessary measures to resolve other issues arising from this Decree.
8. “Shusha City State Reserve Administration” public legal entity:
8.1. Ensure the establishment of a limited liability company under its subordination within two months and the management of multi-apartment buildings and individual residential houses built in the city of Shusha, as well as in the territory of Shusha district, and the implementation of functions in the fields of landscaping, greening, lighting, and housing and communal services in that territory through that company;
8.2. Take measures in accordance with its charter regarding the optimization of its existing structure, as well as the determination of the structure, staff units, and salary system of the company provided for in item 8.1 of this Decree, taking into account item 9.2 of this Decree;
8.3. Take necessary measures to resolve other issues arising from this Decree.
9. The Ministry of Finance of the Republic of Azerbaijan:
9.1. Ensure the financing of the activities of the new entities created in accordance with this Decree within the funds provided for in the state budget for the current year;
9.2. Carry out financial expertise of the structure, staff units, and salary systems of the new entities created in accordance with this Decree and take measures for their optimization, in accordance with item 3.7 of the Decree of the President of the Republic of Azerbaijan No. 489 dated August 25, 2025, “On additional measures related to the organization of efficient management of public finance”.
